ADHERENCE AGREEMENT AND TERMS OF USE FOR YELLOW TOKENS SOFTWARE

INROOTS SERVICOS DE MARKETING E COMUNICACAO LTDA (“Inroots”), referred to hereinafter as the CONTRACTED PARTY, a company based in the city of Barueri, Sao Paulo, Brazil, registered with the CNPJ/MF under No. 07.845.657/0001-07, makes available to its clients the platform for analyzing and estimating customer satisfaction through this Adherence Agreement and Terms of Use for Yellow Tokens software.

On the other hand, the User acquires the services by clicking on the field “I have read and agree to the Adherence Agreement and Terms of Use.” From that point onward, this agreement will govern the relationship between Inroots and the User.

By creating an account on the Yellow Tokens software, the User confirms that they have read this Adherence Agreement and agree to the terms outlined herein. Acceptance of this document will be made electronically via the internet.

1. DEFINITIONS

1.1. The following definitions are provided for a better understanding of this adherence agreement:

2. OBJECT

2.1. This adherence agreement aims to regulate access to the Yellow Tokens platform by the User, including personal and business accounts.

2.1.1. Yellow Tokens is software developed by Inroots designed to capture and analyze public feedback published on digital platforms about businesses, physical establishments, and products. By collecting this data, the User can access analyses of customer satisfaction.

2.1.2. Yellow Tokens and Inroots have no connection or affiliation with the businesses, products, and physical establishments monitored on the platform, nor with the digital platforms used to capture feedback.

2.1.3. Use of the Yellow Tokens platform may be carried out through payment for a Business Account subscription, a subscription for Ready-Made Project from the Project Store, or free of charge, as set forth in clause four of this adherence agreement.

3. SERVICES PROVIDED BY THE YELLOW TOKENS PLATFORM

3.1. The services provided by the Yellow Tokens software include:

3.1.1. Collection of public customer feedback obtained from the profiles of businesses, products, and physical establishments on digital platforms, followed by analysis of customer satisfaction levels.

3.2. Adherence to the services of the Yellow Tokens platform will be made autonomously by the User, who, if opting to acquire a Business Account subscription or a subscription for a Ready Project from the Project Store, will contract and make payment without the intermediation of third parties. Therefore, it is the User’s duty to observe the rules regarding the conditions, deadlines, and amounts of the subscriptions. By creating their account on the platform, the User expresses their agreement with the conditions of this agreement. In case of disagreement, it is the User's duty not to register on the platform or contract subscriptions.

3.3. The use of the platform must be for the purposes described in this adherence agreement. In case of misuse, Inroots may apply the sanctions described in clause 10 of this document.

3.4. Access to the Yellow Tokens platform is available to the User 24 hours a day.

3.5. Termination of this agreement may occur at any time, in accordance with item 12 of this agreement.

4. FUNCTIONING OF THE PLATFORM

4.1. The User may use the Yellow Tokens platform services either for free or for a fee.

4.2. Registration data: regardless of the type of account chosen, the platform's functionalities will only be available after the User registers. For this, the following information must be provided: full name, company name where the user works, email, country of residence, and area of economic interest.

4.2.1. If the User purchases a subscription, they will be required to submit their CPF/CNPJ (if the User is an individual or legal entity residing in Brazil) and address information.

4.3. Types of subscriptions: there are two types of subscriptions on the Yellow Tokens platform, namely:

4.3.1. Business Account Subscription: in this type of subscription, the User selects the number of companies, physical establishments, and products they wish to monitor, as well as the number of team members. Then, they choose the number of customized projects for their account. Based on this information, the Yellow Tokens platform will provide the price to be paid for the subscription at each available frequency, along with the number of feedbacks the business account will be entitled to monitor each month.

4.3.1.1. After contracting the Business Account Subscription, if the User wishes to monitor a greater number of feedbacks than calculated by the Yellow Tokens platform, they can purchase additional credits at any time.

4.3.1.2. After contracting the Business Account Subscription, if the User wishes to monitor more companies, more physical establishments, more products, add more users, or create more customized projects, they can acquire additional credits for these assets at any time.

4.3.1.3. Each customized project, company, physical establishment, product, or user registered on the Yellow Tokens platform will consume the credits of these assets that the User's Business Account is entitled to. It will be up to the Yellow Tokens platform to control the amount of feedback collected relative to the feedback credits that the User's Business Account is entitled to.

4.3.1.4. If the User no longer wishes to have a specific customized project associated with their account, they may schedule its deactivation. The deactivation of a customized project is always scheduled for the next day from the day the Business Account subscription is purchased. For example, if the User purchased their Business Account subscription on 01/01/2025, the deactivations of their customized projects will always occur on the next day of the month (e.g., 01). Once a customized project is deactivated, it no longer consumes the credits of the User’s account. The scheduling of the deactivation of a customized project cannot be undone. After a customized project is deactivated, the User will no longer be able to view customer feedback data and analyses for that project.

4.3.1.5. If the User no longer wishes to have a specific company, physical establishment, or product associated with their account, they may schedule their deletions. The deletions will always be scheduled for the next day from the day the Business Account subscription is purchased. For example, if the User purchased their Business Account subscription on 01/01/2025, the deletions will always happen on the next day of the month (e.g., 01). Once a company, physical establishment, or product is deleted, the credits from the User's account for those assets are no longer consumed. Deletion schedules cannot be undone. Once a deletion occurs, the User will no longer be able to view customer feedback data and analyses for that deleted asset. If a company is deleted, it will no longer be possible to view feedback data and analyses regarding that company, nor the physical establishments and products related to that company.

4.3.2. Ready-Made Project Subscription from the Project Store: in this type of subscription, the User chooses a pre-configured project with predefined companies. After the subscription, the User will be able to view customer feedback data and analyses about the companies, physical establishments, and products in this project.

4.3.2.1. It is expressly stated that Inroots has no affiliation with the companies defined in these projects. The Yellow Tokens platform only collects public customer feedback data regarding the companies, physical establishments, and products configured in the Ready-Made Project.

4.4. Subscription frequency: the Business Account and Ready-Made Project Store subscriptions can be purchased with different frequencies. Regardless of the frequency chosen, payment is always made in advance.

4.4.1. The User may schedule changes to their subscriptions at any time. Ready-Made Project Store subscriptions can have their frequency changed, and Business Account subscriptions can have both their frequency and the number of their assets changed (number of customized projects, companies, establishments, products, and users). Subscription changes occur through scheduling. Changes will take effect from the User's next subscription renewal date.

4.4.2. When purchasing a Business Account subscription or a Ready Project Store subscription, the User must choose the billing frequency for their subscription. There is a discount policy on the Yellow Tokens platform for subscriptions with longer periods. If the User wishes to change the billing frequency of their subscription to a longer period to obtain a discount, they may take the “Save” action at any time. Upon taking the “Save” action, the User will be charged at that moment. The User will be informed at the time of the action of the amount that will be charged immediately and the amount that will be charged for future renewals of their subscription.

4.5. Payment: payment will be made via credit card on the company’s own Stripe portal. Payments in foreign currencies are accepted, according to the options provided by the referred company. The User is aware that Stripe is responsible for processing payment data, releasing Inroots from any responsibility regarding the data entered.

4.5.1. After payment for the software license, Inroots will issue an invoice and send it to the User, if the User is an individual or legal entity residing in Brazil. If the User is an individual or legal entity residing in another country, Inroots will issue an invoice but will not send it to the User. In this case, the User will be able to view their invoice and billing history on a specific page of the Yellow Tokens platform.

4.6. Customized projects, companies, physical establishments, and products: when purchasing a Business Account subscription, the User may register any company, product, or physical establishment on the Yellow Tokens platform for monitoring. Although the User is informed of the number of feedbacks their Business Account is entitled to monitor each month, there is no guarantee that this number of feedbacks will actually be successfully captured.

4.6.1. By using the Yellow Tokens platform, the User acknowledges that the capture of feedbacks may be affected by occasional interruptions, whether due to maintenance on digital platforms or changes in their access policies. Thus, there is no guarantee of the continuity or effectiveness of the data capture process. The User agrees that Inroots is not responsible for any failures in information collection, being aware that this functionality may not be assured in all circumstances.

4.6.2. The User acknowledges that, due to changes in the policies of digital platforms, it is possible that data capture by the Yellow Tokens platform may be permanently interrupted. In this sense, the User understands and accepts that if any platform becomes inaccessible or unavailable for feedback capture, they will not be entitled to a refund of any amount paid. By creating their account on the Yellow Tokens platform, the User assumes this risk and understands that service continuity may be affected by factors beyond Inroots' control.

4.6.3. Yellow Tokens captures public customer feedback on digital platforms. If the User registers companies, physical establishments, or products that do not have any available public data, no data will be captured.

4.6.4. At the time of registering a customized project, the User must define its segment. Once the customized project has been registered, its segment cannot be edited. If the User registers a customized project incorrectly or wishes to change its segment for any reason, they must schedule the deactivation of that project and register another one at a suitable time.

4.6.5. At the time of registering a company, the User must provide URLs of the profiles of that company on digital platforms. Once the company has been registered, its URLs cannot be edited. If the User incorrectly registers the URLs of a company or wishes to change them for any reason, they must schedule the deletion of that company and register another one at a suitable time.

4.6.6. At the time of registering a product, the User must provide URLs of the profiles of that product on digital platforms, must choose the sub-segment of that product, and the company to which that product is associated. Once the product has been registered, its URLs, sub-segment, or associated company cannot be edited. If the User wishes to change this information for any reason, they must schedule the deletion of that product and register another one at a suitable time.

4.6.6.1. Only products registered on the Amazon platform with their own Amazon URL can be registered on the Yellow Tokens platform.

4.6.7. At the time of registering a physical establishment, the User must provide URLs of the profiles of that establishment on digital platforms, must provide address information, and must define the company to which that establishment is associated. Once the establishment has been verified, its URLs, address information, or associated company cannot be edited. If the User wishes to change this information for any reason, they must schedule the deletion of that establishment and register another one at a suitable time.

4.6.7.1. Only physical establishments that can be found on Google Maps can be registered on the Yellow Tokens platform.

4.6.7.2. When a physical establishment is registered in the program, the Yellow Tokens platform automatically begins searching for that establishment on Google Maps. Feedback for that establishment will only be collected if it is successfully found and if the User completes their verification to confirm the address information. There is no guarantee that every establishment registered by the User will actually be found successfully on Google Maps. The User is aware that by purchasing credits for physical establishments to monitor feedback, they may not be able to monitor the desired establishments.

4.7. Feedback Collection: Only public feedback related to customer shopping experiences available on digital platforms will be collected. The User understands that Inroots is not responsible for the content of the collected texts, and it is expressly stated that the responsibility for offensive, discriminatory, defamatory, or slanderous comments lies with the issuer and the platform hosting them, with Yellow Tokens being merely a collection tool. Additionally, the User understands that Inroots may discard feedback unrelated to shopping experiences for reporting purposes.

4.8. Software Use: The software license may be replicated on multiple machines. However, the same User may not be logged into more than one device at the same time.

4.9. License Duration: The license for the subscriptions will last for the period contracted by the User. Renewal will be automatic, with automatic billing to the registered credit card on the subscription renewal date; the User may cancel the renewal one (1) day before the due date.

4.10. Notices and Messages: The User agrees to receive notices and messages about Inroots and Yellow Tokens services via email, WhatsApp, and phone. It is the User's responsibility to keep their contact information up to date. If the User no longer wishes to receive promotional messages, they can simply email support@yellowtokens.com.

4.11. Scope of Operation: The Yellow Tokens platform will operate nationally and internationally, with the companies and physical establishments selected by the User for monitoring possibly located in Brazil or abroad.

4.12. The Yellow Tokens software collects and organizes publicly available comments and reviews from third-party platforms. Inroots does not claim any rights over the content collected or stored through the Yellow Tokens platform. Users of the software are solely responsible for ensuring that their use of the collected data complies with applicable laws, including but not limited to copyright, privacy, and other relevant regulations.

4.13. The Yellow Tokens platform respects intellectual property rights and complies with copyright laws. If any owner of copyrighted content identifies that content captured by our platform infringes their rights, we request that they contact us immediately. If you are the copyright holder or are authorized to act on behalf of the holder and believe that any content captured and organized by our platform violates your rights, please send an email to support@yellowtokens.com, including the following information: a clear identification of the content you claim is being infringed; proof of ownership of the copyright or legal authority to act on behalf of the holder; contact information, including your name, email address, and phone number, so that we may reach out for clarification or to provide a response; a statement that the information provided is accurate and that you, in good faith, believe that the use of the content in the manner claimed is not authorized by the copyright holder, their agent, or the law. Upon receipt of a valid notice, we will take the necessary measures to remove or disable access to the allegedly infringing content as quickly as possible.

4.14. Yellow Tokens is committed to maintaining a safe and respectful environment for all its users and does not tolerate any form of discriminatory, offensive, or inappropriate speech. While our platform captures and organizes public comments and reviews from third-party platforms, we recognize that some content may be considered harmful or inappropriate. If any user or third party identifies comments that are discriminatory, offensive, or contain inappropriate language, we request that they contact us at support@yellowtokens.com, providing the following information: a clear and detailed description of the comment or content deemed inappropriate; the reason why the content is considered offensive, discriminatory, or inappropriate; contact information, including your name and email address, so that we may confirm the removal or request additional information if necessary. Upon receipt of a valid notice, we will review the case and, if appropriate, remove or disable access to the identified content as quickly as possible.

5. UPDATES

5.1. The Yellow Tokens software will undergo periodic updates to fix potential errors, incorporate new features, or remove outdated resources.

5.2. Updates will be free. However, if new functionalities not listed in these terms are added, the User may need to make a payment to access those functionalities, provided they agree.

6. SUPPORT

6.1. Inroots will provide support to purchasers for using the platform via email, and online tutorials will also be available.

6.2. The response time for support requests is two (2) business days, regardless of the contracted plan. However, the time for resolving the user's issue will depend on the specific matter.

6.3. If the platform becomes inoperable due to the User's exclusive fault, Inroots will be exempt from responsibility for support and fixing potential failures.

7. USER RIGHTS

7.1. Your Yellow Tokens Software License

7.1.1. The user owns the information submitted on our platform and grants Inroots the right to use and process said data. Inroots commits to using and processing the data provided by the User within the rules established in these terms.

7.1.2. Inroots may create subproducts using the data provided by the User, as long as it complies with applicable personal data legislation.

7.2. Service Availability

7.2.1. Inroots may modify, suspend, or discontinue any of its services and may also change the prices charged, with prior notification as permitted by law.

7.2.2. Inroots is not obliged to store User data after account cancellation. Whenever the User wishes to delete their registration on our platform, they must first export and properly store their data.

8. USER OBLIGATIONS

8.1. After accepting these terms and registering, the User will have access to all functionalities of the Yellow Tokens platform and is obliged to use them in compliance with Brazilian legislation and these terms.

8.1.1. Users are aware that by inputting content and uploading information to our platform, they will be the sole and exclusive responsible for all information submitted.

8.1.2. Users will indemnify Inroots, its administrators, employees, representatives, and agents for any claims brought by other users due to their illegal activities or violation of any laws or third-party rights, being the respective User responsible for compensation for losses and damages, interest, monetary correction, and legal fees.

8.2. Access to the Platform

8.2.1. It is solely the User’s responsibility to obtain the necessary equipment and services for accessing Yellow Tokens services, and Inroots is not responsible for any damages or problems arising from delays, interruptions, or data transmission blockages through any telecommunications networks.

8.2.2. The User commits to using the platform properly, and it is prohibited to send and transmit illegal data or information that contravenes the law and the usage conditions set forth herein.

8.3. Intellectual Property Rights

8.3.1. All content on the Yellow Tokens website and platform is owned by Inroots, as it is the company that maintains and organizes it. Unauthorized use of the technology by a third party will be considered a violation of copyright and intellectual property rights, as applicable.

8.3.2. All trademarks included in Yellow Tokens services are owned by Inroots, or have been licensed or authorized for legitimate use by their holders. This provision does not cover trademarks analyzed by the Yellow Tokens platform, which are owned by third parties. The trademarks of the Yellow Tokens software, as well as the domain name hosting them, are intangible assets owned by Inroots, which thus has exclusive rights over their use, under penalty of civil and criminal liability.

8.3.3. By accessing Yellow Tokens content, the User declares that they will respect all intellectual and industrial property rights, including those related to registered trademark protections, as well as all rights regarding third parties that may be, or have been, available in such services.

9. INROOTS LIABILITY EXEMPTION

9.1. In no event will Inroots be liable for any direct, indirect, incidental, special damages, or consequential damages arising from the use or inability to use the platform, or for any information, products, or services obtained through it or resulting from its use.

10. PROHIBITIONS AND SANCTIONS

10.1. Without prejudice to other applicable measures, Inroots may warn, suspend, temporarily or permanently, a user's account at any time, initiating legal actions and/or suspending access if it identifies the following situations:

11. INFORMATION HANDLING

11.1. Inroots declares that access logs, as well as the recording of users’ personal data, adherence to privacy rights, personal data protection, and confidentiality of private communications are conducted in accordance with applicable legislation.

11.2. Data protection compliance applies to the collection of feedback, and it is expressly stated that, in compliance with applicable data protection regulations, Inroots will not store the personal identification data of feedback authors.

11.3. It is expressly stated that if the User violates any provisions of applicable data protection regulations when using the information collected on the Yellow Tokens platform, the User will be solely responsible for any resulting damages, and Inroots will be exempt from any liability, including but not limited to supplementary or subsidiary responsibility.

12. TERMINATION

12.1. A User who has subscribed to a Business Account or a Ready Project subscription may cancel it at any time.

12.1.1. Cancellation of a subscription occurs through scheduling. From the cancellation request, the subscription will remain active until its renewal date. After this date, the User will lose all access related to their Business Account or Ready-Made Project from the Project Store.

12.2. No amounts paid by the User will be refunded in the event of contract termination, except as provided by law.

12.3. In the case of a paid subscription termination request, the User will remain bound by these terms due to the use of the free plan. To permanently delete the account on the Yellow Tokens platform and terminate these terms, a request must be sent to the platform's support email.

12.4. Breaching any of the clauses by the User will result in termination of this instrument.

12.5. In the case of non-performance or total or partial breach of these terms, termination will occur automatically, regardless of judicial or extrajudicial notice from either party.

13. JURISDICTION AND APPLICABLE LAW

13.1. The parties choose the forum of the city of Barueri, State of São Paulo, as competent to resolve any issues related to these terms, with express waiver of any other, no matter how privileged.

13.2. Even though the Yellow Tokens platform can be accessed from anywhere, the User is aware that the relationship governed by these terms is subject to Brazilian legislation, even if the User's domicile is located in another country.

14. GENERAL PROVISIONS AND SUPPORT

14.1. Any questions related to the Yellow Tokens platform services should be addressed to our customer service center via email at support@yellowtokens.com or through the contact form available on the company’s website.

14.2. Acceptance of these terms will be made through the checkbox available on our site. The User declares that they accept the document irrevocably and without consent defects.
